Trustees Of Zebakwe Trust!

 

The Deed of Donation and Trust provides for SIX (6) Trustees, three from Zimplats as the Donor and three from the Ministry of Mines as a co-principal. The first Trustees were appointed by the Minister of Mines and Energy, three of whom were nominees of the Donor. The Minister of Mines and Energy is entitled to terminate the appointment of any Trustee and replace him/her by another Trustee and replace Trustees who die, resign or are otherwise incapable or unable to continue acting provided however that at all times there remains on the Board of Trustees three Trustees who have been nominated by the Donor. The Donor shall be entitled to relinquish its right to nominate Trustees for appointment by the Minister when and if it chooses to do so.

Powers of Trustees

The Trustees shall have full and plenary powers to do all such things and to take all such steps as may appear to them to be necessary or desirable to give effect to the objects of the Trust or which may be necessary or incidental to the administration and control of the Trust and its assets. Without prejudice to the generality of such powers, these are some of the powers that the Trustees shall have:-

    • to accept such further donations as may from time to time be settled upon the Trust subject to such conditions as are not inconsistent with the objects of the Trust;
    • to invest the monies held by them for the purpose of producing income in such a manner as the Trustees may in their absolute discretion see fit;

Meetings

The Trustees shall hold meetings from time to time for the purpose of conducting the business of the Trust and making decisions in regard to Trust matters. Save for the right to insist upon an audit as provided in clause 6 hereof, in order to be effective such decisions have to be supported by the majority of Trustees present at a meeting.

    An Executive Director with ZBCW and member of Boards of other several corporates in Zimbabwe and former Executive Director of Institute of Directors Zimbabwe (IODZ)

  • Mr Robert Mordecai Kaisi: Vice CHarperson

    A Chief Surveyor and executive with the Ministry of Mines.

  • Mrs Busi Chindove:

    Divisional Head of Corporate Affairs at Zimplats and has worked for a number of listed companies.

  • Mr John Makandwa:

    A Geologist with Ministry of Mines in the Mining Promotion Department.

  • Mr Morgan Makina:

    A Director in Finance, Administration and Human Resources with the Ministry of Mines.

  • Mr Takawira Maswiswi:

    A General Manager - Human Resources with Zimplats.

  • Mr Charles Mugwambi:

    General Manager - Finance at Zimplats and has worked for other leading mining houses in the country and also sits on other non profit organisations boards of trustees.
